These Terms are maintained by Bettor Design LLC, the company behind NellyList. They describe the rules for using the NellyList iOS app, the NellyList web app at app.nellylist.com, the Nelly AI list helper, the Pin to NellyList browser extension, and the NellyList marketing website at nellylist.com (collectively, the "Services").
Agreement to Terms
By accessing or using NellyList, you accept and agree to be bound by these Terms. If you do not agree, please do not use the Services.
If you use the NellyList iOS app, your use of the App is also subject to Apple's Standard Licensed Application End User License Agreement (the "Apple Standard EULA"): https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. These website Terms supplement the Apple Standard EULA with NellyList-specific information. They do not replace Apple's Standard EULA for the iOS app.
Description of Service
NellyList helps you capture and organize everyday lists on iPhone and web. The Services include:
- Creating and customizing lists, to-dos, and notes
- Offline use with local storage on your device, plus cloud sync when you sign in across iPhone and web
- Labels, reminders, Live Lists, shared list links, and organization tools
- AI-powered list suggestions through Create with Nelly
- Rich items with link previews, artwork, and music preview clips drawn from public sources
- The Pin to NellyList browser extension for saving pages, links, and images into your lists
- Free tier access with optional in-app advertising
- Optional subscription features (NellyList Pro), which remove in-app ads
Free and Paid Plans
NellyList may offer a free tier and optional paid plans such as NellyList Pro. Free users may have feature limits, usage limits (including limits on Create with Nelly), or in-app advertising. Paid plans may remove ads, increase limits, or unlock additional features depending on the plan shown at the time of purchase.
NellyList Free on iPhone may display ads through Google AdMob. NellyList Pro removes in-app ads. See our Privacy Policy for how ad-related data is handled.
User Accounts
Account Creation
- Sign in with Apple, Google, or email to use cloud sync across iPhone and web
- You are responsible for keeping your account and device secure
- You must be at least 13 years old to use NellyList
Account Responsibilities
- You are responsible for all activity that occurs through your account
- You must notify us promptly of any unauthorized use of your account
- We reserve the right to suspend or terminate accounts that violate these terms
Acceptable Use
You agree not to use NellyList to:
- Create content that is illegal, harmful, threatening, abusive, or offensive
- Violate any laws or regulations
- Infringe on intellectual property rights
- Upload images or attachments you do not own or have the right to use
- Upload material that is obscene, explicit, defamatory, or otherwise objectionable
- Transmit spam, malware, or other harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Resell or commercially redistribute the Services without permission
- Create content that promotes violence, discrimination, or illegal activity
Content Ownership and Rights
Your Content
- You retain ownership of the lists, items, notes, images, and other content you create in NellyList
- By using NellyList, you grant us a limited license to store, display, process, and transmit your content as necessary to operate the Services (for example, to sync your lists across your devices or to sync Live Lists with collaborators you invite)
- You are responsible for ensuring your content does not violate any third-party rights
Our Content
- NellyList, its branding, and its original content are protected by copyright and other laws
- You may not copy, modify, or distribute our content without permission
- AI-generated list suggestions are provided as-is
User-Uploaded Images and Attachments
If you add images or attachments to your lists, you agree to the following:
Ownership and Rights
- You represent that you own or have all necessary rights to upload and use any image or attachment you add
- You represent that your content does not infringe the copyright, trademark, right of publicity, or other rights of any third party
- You are solely responsible for the content you upload and any consequences of uploading it
License Grant
- By uploading images or attachments, you grant NellyList a worldwide, non-exclusive, royalty-free license to host, store, process, compress, display, and transmit them solely as needed to provide the Services
- This license includes creating resized or compressed versions for performance and includes a reasonable period after deletion to remove backups
Prohibited Content
You must not upload images or attachments that:
- You do not own or have permission to use
- Infringe any intellectual property right
- Contain obscene, pornographic, or sexually explicit material
- Depict violence, abuse, or harm to any person or animal
- Contain hate speech, discriminatory content, or harassment
- Violate any applicable law or regulation
- Contain malicious code
Moderation and Removal
- We reserve the right, but have no obligation, to review, monitor, or remove user-uploaded content at our sole discretion
- We may suspend or terminate accounts that repeatedly upload infringing or prohibited content
Live Lists
Live Lists let signed-in NellyList users collaborate on the same list. When you create or join a Live List, list content and activity may sync among invited collaborators in near real time. You are responsible for deciding who to invite and what content to share on a Live List.
- Only invite people you trust to view and edit the shared list
- Collaborators you invite can add, edit, and complete items on the Live List
- Recent activity may show who changed the list
- If you leave a Live List or remove a collaborator, you or they may choose to keep a copy of the list or remove it from their account
- We may suspend or remove access to Live Lists that violate these Terms
Live Lists are different from shared list links. A shared link opens a web preview and lets someone import their own editable copy. A Live List is one shared list that stays in sync for everyone invited.
Affiliate Links
As an Amazon Associate, Bettor Design LLC (NellyList) earns from qualifying purchases. Some outbound links in the Services — for example, "Find on Amazon" or "Buy on Amazon" links on items — may include our affiliate identifier, and we may earn a commission when you make a qualifying purchase, at no additional cost to you.
- The retailer, not NellyList, is the seller. Prices, availability, shipping, and returns are the retailer's responsibility and may change at any time.
- Product links are provided for convenience and are not an endorsement or guarantee of any product, and search-style links may surface results we do not control.
- Your purchases on retailer sites are governed by the retailer's own terms and privacy policy.
Browser Extension
The Pin to NellyList browser extension is part of the Services, and these Terms (including Acceptable Use and Content Ownership) apply to content you save with it. The extension is distributed through browser web stores (such as the Chrome Web Store), and your installation and use of it are also subject to the applicable store's terms. You are responsible for ensuring you have the right to save content you pin, just as with content you create in the app.
Shared List Links
When you share a list link, anyone with that link can view the web preview you chose to share. Shared links may also be forwarded by recipients. You are responsible for deciding what to share and with whom. When someone imports a shared list, they receive their own editable copy.
Launch List and Website Communications
If you join the launch list or otherwise opt in on nellylist.com, you agree that we may send you launch and product update emails related to NellyList. You can unsubscribe at any time using the link in those emails or by contacting nelly@nellylist.com.
Definitions and Scope
"Services" means the NellyList iOS app, the NellyList web app at app.nellylist.com, the Pin to NellyList browser extension, the NellyList marketing website at nellylist.com, and the related features we provide. "User Content" means content you submit or create within the Services, including list titles, items, notes, tags, images, and attachments. "You" and "your" means the person using the Services.
Eligibility
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Services and have the legal authority to agree to these Terms.
Third-Party Services
NellyList integrates with third-party services, including:
- Apple App Store and sign-in providers — for subscriptions, authentication, and in-app purchases
- Cloud hosting — for account sync and storage when you are signed in
- OpenAI — to process prompts and generate suggestions for Create with Nelly
- Google AdMob — for in-app advertising on the NellyList Free tier on iPhone
- Resend — to manage launch list signups and product update emails
- Google AdSense — for advertising on the NellyList marketing website
- Amazon Associates — some outbound product links are affiliate links (see Affiliate Links above)
- Public catalogue sources — such as Wikipedia, Apple's media catalogue, OpenLibrary, and Spotify, for artwork, synopses, and preview clips on rich items
- Cloudflare — to host and deliver the NellyList marketing website
Your use of those services is governed by their own terms. We are not responsible for third-party services and disclaim all liability related to them. See our Privacy Policy for more detail on how data is handled.
Apple App Store and iOS-Specific Terms
The NellyList iOS app (the "App") is licensed, not sold, to you under Apple's Standard EULA: https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. These Terms supplement the Apple Standard EULA with information about NellyList Pro and other NellyList-specific matters. If there is any conflict between these Terms and the Apple Standard EULA regarding use of the App, the Apple Standard EULA controls for the App license. You acknowledge that:
- Two-party agreement: These Terms are between you and Bettor Design LLC, not Apple. Apple is not responsible for the App or its content.
- Scope of license: Apple grants you a non-transferable license to use the App on iPhone devices that you own or control, as permitted by the Apple Media Services Terms (including Family Sharing or volume purchasing).
- Maintenance and support: Bettor Design LLC is solely responsible for providing any maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services.
- Warranty: Bettor Design LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligation for the App.
- Product claims: Bettor Design LLC, not Apple, is responsible for addressing any claims relating to the App, including product liability, legal or regulatory compliance, and consumer protection claims.
- Intellectual property claims: In the event of a third-party claim that the App or your use of it infringes that third party's intellectual property rights, Bettor Design LLC, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim.
- Legal compliance: You represent that (i) you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
- Third-party beneficiary: You acknowledge that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
- Device requirements: The App requires a compatible iPhone and a supported version of iOS. NellyList is designed for iPhone and is not optimized for iPad. We may end support for older devices or OS versions over time.
NellyList Pro Subscriptions
NellyList may offer optional paid auto-renewable subscriptions, including NellyList Pro, through the Apple App Store on iPhone. Plan names, prices, billing periods, free trials, and included features are shown in the app at the time of purchase and may change over time.
Subscription Billing
- Payment is charged to your Apple ID account at confirmation of purchase.
- Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period.
- Your account may be charged for renewal within 24 hours before the end of the current period.
Pricing, billing cycles, free trials, and renewal terms are handled by Apple and disclosed when you subscribe. Unless required by law, fees are non-refundable after the applicable trial or cancellation window. Taxes may apply.
Managing or Canceling Subscriptions
You can manage or cancel your subscription in your Apple ID account settings, including at https://apps.apple.com/account/subscriptions, or through iOS Settings > Apple ID > Subscriptions. Deleting the NellyList app does not cancel your subscription.
Restore Purchases
If you previously subscribed to NellyList Pro through Apple, you can restore your purchase in the app by opening Settings > NellyList Pro and tapping Restore Purchases, signed in with the same Apple ID you used to subscribe.
AI Content Generation
Create with Nelly and other AI features may generate list or task suggestions based on your prompts. AI-generated content is provided for convenience and inspiration only.
- AI-generated suggestions may be incomplete, inaccurate, or inappropriate for your situation. They are automated predictions produced by third-party AI models, not statements, views, or recommendations of Bettor Design LLC
- You are responsible for reviewing AI-generated content before saving, sharing, or relying on it, and any reliance on AI-generated content is at your own risk
- Verify anything safety-critical independently. Do not rely on AI-generated suggestions for decisions involving health, medication, allergies or dietary restrictions, child or pet safety, hazardous activities, legal, tax, or financial matters, or travel and entry requirements without confirming them with a qualified professional or authoritative source
- Suggestions that mention products, services, brands, or destinations (including any linked product pages — see Affiliate Links above) are provided for convenience and are not an endorsement or a guarantee of quality, safety, suitability, or availability
- AI features may have usage limits, especially on the Free tier
- Results do not constitute professional, medical, legal, financial, or other expert advice
Reminders and Notifications
NellyList may offer reminders and notifications to help you keep track of lists and to-dos. These features are provided for convenience only. Delivery timing is not guaranteed, and reminders may be delayed or not delivered because of device settings, network conditions, iOS limitations, Do Not Disturb, Focus modes, notification permissions, or other factors outside our control.
Privacy and Data
Your privacy matters. Please review our Privacy Policy at https://nellylist.com/privacy to learn how we collect and use information. You can request deletion of your account and data at any time.
Data Retention and Account Inactivity
NellyList retains your lists, preferences, and uploaded content for as long as your account remains active.
Inactivity: If you do not use NellyList for more than 1 year, your saved data, including uploaded images and attachments, may be permanently deleted from our systems.
Billing Records: Payment-related information may be retained beyond this period to comply with applicable tax, accounting, and regulatory requirements.
Data Restoration: NellyList is not responsible for data lost due to account inactivity or expiration of this retention period. Once data is deleted, it cannot be restored.
User Control: You can request deletion of your account and all associated data at any time by emailing nelly@nellylist.com. Upon verification, your data will be permanently removed within 30 days.
Service Availability
- We aim to keep NellyList available, but cannot guarantee uninterrupted service
- We may perform maintenance that temporarily affects availability
- We may modify or discontinue features at any time
- We are not liable for downtime or interruptions
DMCA Policy
NellyList respects the intellectual property rights of others. If you believe that content on NellyList infringes your copyright, you may submit a DMCA takedown notice to nelly@nellylist.com with:
- A description of the copyrighted work you claim has been infringed
- A description of where the infringing material is located
- Your contact information (name, address, phone, email)
- A statement that you have a good faith belief that the use is not authorized
- A statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized agent
- Your physical or electronic signature
If you believe your content was removed in error, you may submit a counter-notification. We will terminate accounts of repeat infringers in appropriate circumstances.
Termination
By You
- You may stop using NellyList at any time
- You may request account deletion by emailing nelly@nellylist.com
By Us
- We may suspend or terminate your account for violations of these terms
- We may discontinue the Services with reasonable notice
- Upon termination, your right to use the Services ceases immediately
Disclaimers and Limitations
Service Disclaimer
- NellyList is provided "as is" without warranties of any kind
- We do not guarantee that the Services will meet your specific needs
Limitation of Liability
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability is limited to the amount you paid for the Services in the 12 months preceding the claim
- Some jurisdictions do not allow these limitations, so they may not apply to you
AI and Non-Advisory Disclaimer
- AI-generated content may be inaccurate or incomplete
- Results are for informational and convenience purposes only and do not constitute professional advice
- You assume all risk arising from your use of or reliance on AI-generated content, and you are solely responsible for the decisions and actions you take based on it
- To the maximum extent permitted by applicable law, Bettor Design LLC is not liable for any loss, damage, or injury arising from AI-generated suggestions, including suggestions that are inaccurate, incomplete, unsuitable for your circumstances, or that reference third-party products or services (see AI Content Generation above)
Indemnification
You agree to indemnify and hold Bettor Design LLC and NellyList harmless from any claims, damages, or expenses arising from your use of the Services or violation of these terms, including claims arising from content you upload and from AI-generated content you choose to save, act on, share, or distribute.
Export Controls and Sanctions
You may not use the Services if doing so violates applicable export control or sanctions laws.
General
These Terms constitute the entire agreement between you and NellyList regarding the Services and supersede prior agreements. If any provision is found unenforceable, the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We are not liable for delays or failures due to events beyond our reasonable control.
Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Massachusetts.
Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the new terms.
